IATA CONNECT TERMS OF USE

IATA Connect is open to the aviation community. The following Terms of Use are entered between you, the User, and us, the International Air Transport Association (IATA), an association created by a Special Act of the Parliament of Canada, with its head office at 800 Place Victoria, P.O. Box 113, Montreal, Quebec, Canada H4Z 1M1.

PLEASE CAREFULLY READ THESE PLATFORM TERMS OF USE BEFORE USING THE IATA CONNECT PLATFORM. ANY REFERENCE TO THE “IATA CONNECT PLATFORM” OR “PLATFORM” IN THESE PLATFORM TERMS OF USE SHALL INCLUDE THE WEB PLATFORM, THE MOBILE APPLICATION OR ANY OTHER WEBSITE OR SERVICE OFFERED VIA THE WEB PLATFORM OR THE MOBILE APPLICATION.

CONFIRM YOUR ACCEPTANCE OF THESE PLATFORM TERMS OF USE BY SELECTING THE APPROPRIATE CHECKBOX. IF YOU DO NOT AGREE TO THE PLATFORM TERMS OF USE, THEN DO NOT ACCESS OR USE THE IATA CONNECT PLATFORM.

RESTRICTIONS TO USE

The IATA Connect Platform features a digital space for collaboration for operators, GHSPs (Ground Handling Service Providers), auditors, regulators, airports, aviation professionals and IATA, characterized by IOSA, ISAGO, the Safety Issue Hub, and Safety Connect. The IATA Connect Platform namely hosts airline, GHSPs, and other profiles (the “Profiles”), the IOSA and ISAGO Programs features such as the IOSA and ISAGO Registry, IOSA and ISAGO Audit Reports (“IAR” and ”GOAR”), the Safety Issue Hub, the Safety Connect discussion groups and a resource library, where Users may obtain information about and access to certain products, services or features. The User agrees to use the IATA Connect Platform strictly for the purpose of collaboration and accessing resources, as applicable to IOSA, ISAGO, the Safety Issue Hub, and Safety Connect, and shall not authorize any other person to use the IATA Connect Platform in any manner whatsoever. The content on IATA Connect Platform is not intended for commercial exploitation and/or promotional purposes. The User is explicitly restricted from using content as generative AI training data.

REGISTRATION

Although anonymous users can access information that is available to the general public, such as the IOSA and ISAGO Registry, users must register to access most IATA Connect Platform activities. As such, limited functionality will be available within the IATA Connect Platform for anonymous users. During the registration process, the User shall provide all required information to enable the User to access and use the IATA Connect Platform (the “User Account”). The User represents and warrants to IATA that the User shall: (i) provide truthful, accurate, current and complete information; (ii) maintain and promptly update the information associated with the User Account; and (iii) as required, register with the airline, organization or other entity email if linked to a corporate account. Every registered user accessing the IATA Connect Platform is required to have their own User Account, which may under no circumstances be used by more than one User. 

The User hereby represents, and warrants having all necessary rights, licenses and approvals to provide and manage content and applications in the IATA Connect Platform, and by accessing the User Account in whichever capacity, including without limitation as an Administrator and/or a Moderator, the User has been duly authorized and validated upon registration by such airline, GHSP, other organization or entity to do so on their behalf. The User shall be solely and entirely liable for any activity that occurs in or using the User Account, including without limitation, access grants and activities related to any information or other content provided in connection with the IATA Connect Platform through the User Account. 

The User hereby agrees to notify IATA in writing in the event it becomes aware of any violation of these IATA Connect Platform Terms of Use. 

Administrators and Moderators

For the purpose of the airline, GHSP, other organization or entity, Administrator and Moderator roles, the following shall also apply:

  1. The User assigned as the Administrator and/or Moderator shall be duly authorized as such by their airline, GHSP, other organization or entity, for which IATA shall have no obligation to verify such authorization.
  2. Administrators and Moderators are solely responsible for managing the airline, GHSP, other organization or entity profile content, including the access grants and requests received by other Users.
  3. If a change of Administrator is required, IATA must be immediately notified in writing. 

The Administrator access received from IATA is intended for the User’s sole use and may not be passed to co-workers or to third parties. If accidental or other misuse of a User Account occurs or is believed to occur, IATA reserves the right to treat each such occurrence(s) as a breach of the Platform Terms of Use, which may result in the immediate suspension and withdrawal of the User’s access and/or privileges under IATA Connect Platform. If the User becomes aware or suspects an unauthorized person has obtained access, the User should immediately notify IATA in writing so the situation may be rectified. 

 
 

USERNAME AND PASSWORD

The User agrees not to access the IATA Connect Platform by any other means than through their own User Account. For such purpose, the User shall use a valid user login and shall not attempt any unauthorized access to the IATA Connect Platform, to the other computer systems or networks of IATA, by deriving a username or a password or by any other means. The User is solely responsible for maintaining the confidentiality of all information relating to the User Account and for ensuring to keep User credentials secure and confidential. The User, in whichever capacity, including without limitation as an Administrator and/or a Moderator, is solely responsible with regard to usage, access and security of User information and any activities or permission grants that occur under the IATA Connect Platform accounts. If any unauthorized use of the User Account should occur, the User must immediately notify IATA by e-mail at [email protected] so that IATA may take appropriate action. 

CHANGES TO THE TERMS OF USE

The IATA Connect Platform Terms of Use set out herein may be amended or rescinded by IATA at any time, without prior notice and without any specific reason, by posting a notice to such effect on the IATA Connect Platform and/or by notifying the User by email. If you continue to use the Platform following such notice, you will be deemed to have accepted the updated Terms of Use. It is the User’s responsibility to periodically check the IATA Connect Platform for such changes.

The User agrees to be bound by the IATA Connect Platform Terms of Use for the entire term during which the User will use the IATA Connect Platform. The User may, at any time, cease to access and use the IATA Connect Platform by written request to IATA to deactivate the User Account. As the User remains responsible for any and all activities in the User Account, for greater certainty, the User obligations under these IATA Connect Platform Terms of Use that by their nature would continue beyond the deactivation of the User Account shall survive such deactivation.

CODE OF CONDUCT

When accessing the IATA Connect Platform, the User shall comply with the rules of conduct and standards prescribed hereunder (collectively, the “Code of Conduct”). The User is responsible for communicating to its administrative staff that they are responsible for the Code of Conduct as well as any other policies disclosed to the User from time to time.

  1. Illegal and Reprehensible Activities. The User shall not use IATA Connect to partake in any illegal, criminal or reprehensible activities, including without limitation, any breach of applicable legislation, copyright, trademark and intellectual property infringement, market manipulation, price fixing and any other practice breaching antitrust laws and fair competition principles, money laundering activities, terrorism financing, bribery and collusion.
  2. Misleading Contents. The User undertake not to post false, misleading, inaccurate deceptive, defamatory or otherwise disparaging or reprehensible contents, comments or information including, without limitation, regarding the features of a product, industry stakeholders, market, pricing, market listings, performance and satisfaction ratings.   
  3. Inappropriate material. The User is prohibited from posting or transmitting to the Platform, any unlawful, threatening, libelous, defamatory, obscene, or otherwise inappropriate material.
  4. Systems Abuse. The User shall not commit any systems abuse, including without limitation, excessively intensive processor use, excessive use of disk space, excessive use of data storage space, computer hacking, error handling, masking, use of any domain name service unauthorized by IATA, installation of permanently running programs such as IRC robots, or the resale of CGI scripts or databases.
  5. Malware. The User shall not upload to IATA’s servers or equipment any form of destructive software, including without limitation, viruses, worms, trojan horses, time bombs, cancelbots or any other harmful components or computer files, programs or code designed to interrupt, destroy or limit the functionality of the Platform or of any other computer software, computer equipment or telecommunications equipment.
  6. Reverse Engineering. Disassembly, decompilation and reverse engineering of software and other components of the Platform, or of any part of same, are strictly prohibited. The User shall not, directly or indirectly, attempt to derive any source code or other industrial secrets comprising or relating to the Platform.
  7. Disruption. The User shall not interfere with, or disrupt, the IATA Connect Platform, or the networks and servers of IATA, by any means whatsoever.
  8. Identification. The User shall not use a false, confusing or misleading name, identity, business concern or purpose, and shall not appropriate, remove, deface, overprint or tamper with trademark, logo, legend, warnings or copyrights of third parties.
  9. Advertising and Services. The User shall use the IATA Connect Platform strictly for the purposes intended and shall not, inter alia, advertise, offer or solicit business or marketing opportunities, direct sales, agency services, securities, financial and any other products and/or services.
  10. Sanctions. The User shall refrain from placing on the IATA Connect Platform information or data pertaining to content sourced through nationals or jurisdictions placed under United Nations sanctions, and IATA retains the right to withhold or remove any information or data which may be unclear as to origin and provenance.
  11. Sharing and Publishing AI-Generated Content: The User is explicitly restricted from using AI-generated content in ways that violate these IATA Connect Platform Terms of Use.
  12. Facilitation. The User shall neither facilitate nor encourage or enable any third party to engage in any of the above conduct.

The following activities are not permitted:

  • Spam, advertising, and promotion of services.
  • Sharing of any copyrighted or commercial document which is not freely available to airlines. Relevant documents may be mentioned and links to their online outlet provided.
  • Politically motivated discussions, opinions or viewpoints relating to global politics and world events.
  • Discriminatory, disrespectful or defamatory remarks about a user, provider, airline, regulator, or other organization.
  • External sharing of discussions, responses, and content.

The User understands and acknowledges that any breach of the Code of Conduct may result in the immediate suspension and withdrawal of the User’s access and/or privileges under IATA Connect Platform. The Code of Conduct may be supplemented by IATA policies, protocols, procedures and guidelines, as updated from time to time.

CONFIDENTIAL INFORMATION

As used herein, “Confidential Information” shall mean namely without limitation the information not publicly available in Profiles, the IAR or GOAR, the Maturity Assessment Reports (“MAR”) and all other information, IATA or third parties protect against unrestricted disclosure to others which is either labeled confidential, accessed through the IATA Connect Platform, pursuant to software downloads or other delivery, or reasonably identifiable as confidential based on the type of information and the manner of its disclosure. 

The User agrees not to reproduce any Confidential Information to which the User is provided access through the IATA Connect Platform in any form except as authorized at the time of disclosure. Any reproduction of Confidential Information shall remain the property of IATA and/or its original owner and shall contain any and all confidential or proprietary notices or legends that appear on the original.

The User hereby agrees: (a) to take all reasonable steps to keep all Confidential Information confidential; (b) to use Confidential Information solely as authorized at the time of disclosure or as applicable, as permitted in the IOSA and ISAGO Program Manuals; (c) not to disclose any Confidential Information to any party without the prior written consent of IATA and/or its original owner; and (d) not to cause or permit reverse engineering of any Confidential Information or disassembly of any software programs which are a part of the Confidential Information. The User does not acquire any rights in Confidential Information except the limited rights as described above. Reasonable steps means those steps the User takes to protect its own similar Confidential Information, which shall not be less than a reasonable standard of care.

Without limiting the foregoing, access credentials to the IATA Connect Platform issued to a User are also Confidential Information. The availability of the functionality to download or export Confidential Information from the IATA Connect Platform is not a waiver of confidentiality hereunder, and the downloaded or exported files of such information shall also be treated as Confidential Information hereunder. For greater certainty, the User is solely and entirely responsible for managing, sharing and granting access requests to Confidential Information with other users through the IATA Connect Platform.

The User shall not be obligated to treat information as Confidential Information if such information: (a) was rightfully in its possession prior to receipt from or disclosure by IATA or through the IATA Connect Platform; (b) is or becomes public knowledge other than through a breach of confidentiality; (c) is or was rightfully disclosed to the User by a source other than IATA or any party under their respective control; or (d) must be disclosed by the User according to mandatory applicable law.

The User is not permitted to access IATA or third-party Confidential Information that a User is not explicitly licensed or otherwise granted a right to use for the intended purpose as set forth herein, the IOSA Audit Agreement, ISAGO Audit Agreement, ISAGO Airline Membership Agreement, or as otherwise permitted hereunder.

ADVANCED PROFILES AND IAR

The feature to request access to advanced Profiles and audit reports are available to Administrators, Moderators, IOSA or ISAGO Auditors, and other authorized parties. Upon satisfactory completion of IATA Connect Platform registration documentation, assigned Users may receive Administrator rights, such as requesting or granting access to an advanced Profile and/or an audit report. The Administrator is solely and entirely liable for the administration of any and all Administrator rights.

The User shall not disclose or distribute any part thereof of an IAR or GOAR or a MAR in any manner whatsoever to any person including without limitation regulatory agencies or authorities without the prior consent of  its owner, provided that the User may make copies or part thereof strictly for internal use or disclose to its representatives who need to know such information and who have agreed prior to such disclosure to be bound by confidentiality terms. 

SAFETY ISSUE HUB

The Safety Issue Hub is a repository of safety issues and associated guidance material, including links to both IATA documents and external material. In addition, it provides an environment for users to collaborate on and discuss safety issues. Generic safety risk assessments are included in the Safety Issue Hub for several safety issues to support an organization’s own risk assessment, however, these should not be considered a substitute for an organization’s own safety risk assessment. The sole purpose of the Safety Issue Hub is to support safety management activities and safety improvement.

SAFETY CONNECT

Safety Connect discussion groups are a professional space for aviation professionals to engage and ask for advice or help with safety and/or operational issues, standards, rules, and interpretations, as well as offer advice on best practices or emerging safety risks. This is a global community and as such, cultural sensitivities should be considered at all times. Always be polite and culturally aware when posting questions and responses.

TECHNICAL SUPPORT

IATA may provide the User with free technical support by telephone or e-mail. The technical support provided by IATA shall be limited to issues related to gaining access to, and using, the IATA Connect Platform. The User shall be exclusively responsible for procuring (as well as all related costs and expenses) any necessary technical support for the User's computer equipment, mobile devices and software, and any technical support necessary for maintaining its electrical and physical facilities and an appropriate Internet connection required to access and use the IATA Connect Platform.

IATA will use commercially reasonable efforts to respond to requests for technical support, but IATA does not guarantee any specific response time to resolve technical issues, as such response time may vary depending on the nature and extent of any given technical issue, nor does IATA guarantee any particular resolution, or any resolution, with respect to such issue. The User agrees not to send spam or abusively resort to technical support provided by IATA hereunder.

SECURITY AND RELIABILITY

The reliability of access to the IATA Connect Platform is a priority for IATA. However, IATA cannot guarantee reliable access to the IATA Connect Platform at all times, and in particular in the event of:

  1. Heavy Internet traffic;
  2. Automated maintenance and upgrades of the IATA Connect Platform and relevant servers; and
  3. Events constituting force majeure (including without limitation, terrorist attacks, fortuitous events, computer viruses, worms, denial of service attacks, and other causes reasonably beyond IATA's control). 

The User acknowledges and agrees that IATA shall undertake no liability (including without limitation, for direct and indirect damages) for any downtime that the Platform may experience for any reason.


 

DENIAL OF ACCESS

IATA retains the right, in its entire discretion, to cancel, deactivate, limit or suspend the User's access to the IATA Connect Platform or to any portion of the content without prior notice and without thereby incurring any liability for any reason whatsoever, including any breach of these Platform Terms of Use.

CONTROL MEASURES

In order to prevent unlawful or illicit use of the IATA Connect Platform and its Content, IATA reserves the right, in its entire discretion and at any time, to ask Users to substantiate their compliance with these IATA Connect Platform Terms of Use. In that regard, IATA may ask a User to communicate with IATA orally and to provide IATA with any document or information substantiating their use (or that of the administrative staff the User is responsible for) of the IATA Connect Platform and its Content. The User must respond to such requests without delay. IATA will then take whatever measures it, in its entire discretion, deems justified or necessary in light of the User's response, and may in particular temporarily or permanently interrupt the User's access (or that of the administrative staff the User is responsible for) to the Platform and/or its content.

VIRUS POLICY

The User is solely responsible for protecting its computer equipment, mobile devices, software, electrical equipment and any other equipment against any and all types of malware or other cyber threats, and to ensure that same are free from such. IATA maintains its own protection against malware on its servers, but shall undertake no liability (including without limitation, for direct and indirect damages) for malware that may affect the User's systems and malware resulting from access to, and/or use of, the IATA Connect Platform.

THIRD PARTY LINKS

The IATA Connect Platform and associated microsites or pages may provide links to other Internet sites or resources ("Third Party Links"). Such Third Party Links are provided only for the sake of convenience, and the inclusion of any Third Party Link to such sites or resources does not imply endorsement by IATA of those sites or resources.

Because IATA has no control over such external sites and resources, the User acknowledges and agrees that IATA is not responsible for the availability of such external sites and resources and sites, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on, or available from, such external sites and resources. IATA may terminate the availability of such external sites and resources through Third Party Links on the Platform at any time without any notice. IATA will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with, use of, or reliance on, any such content, products, goods or services available on, or through, such external sites and resources.

INTELLECTUAL PROPERTY

 

IATA Connect Platform Content

As between IATA and the User, all content, data, graphics, photographs, images, audio, video, software (including source code and object code), products, trademarks, service marks, trade names and all other intellectual property, components and information, which includes without limitation the IOSA and ISAGO Program Manuals, IOSA Standards Manual, any and all related documentation (collectively, the “Content”) accessible by means of the IATA Connect Platform (excluding User Content, as defined below) are the exclusive property of IATA and/or its licensors as licensed by IATA. The Content is protected by Canadian and international intellectual property laws.

Except as provided forth herein, the User is prohibited from modifying, copying, reproducing, publishing, transmitting, distributing, posting, executing or interpreting, transferring, assigning or selling any Content, or creating derivative works therefrom, without the specific prior written consent of IATA. For greater certainty, the User shall not without the prior written consent of IATA, print the Content in whole or in part, use it for company promotions, re-sell or otherwise commercialize, or make copies (physical or electronic), automated or systematic distribution or extractions from, or otherwise transfer, license or make available in any means, to any other person or organization.

User License

IATA owns and operates the IATA Connect Platform. For as long as the User’s User Account remains active, and subject to the terms and conditions of these IATA Connect Platform Terms of Use, IATA grants to the User a non-exclusive, personal, non-assignable, non-transferrable, non-sublicensable license to access (remotely, through an Internet connection to be provided by the User) and use the IATA Connect Platform, exclusively for business purposes related to the business of the User with IATA. Except for the rights specifically granted hereinabove to the User, these IATA Connect Platform Terms of Use do not transfer to the User any right (of ownership or otherwise) in or to the IATA Connect Platform, or any of the products, services or information accessible thereon. As between the User and IATA, IATA shall be considered the sole and exclusive owner of all components of the IATA Connect Platform. Any improvements, developments, modifications, changes, supplements, augmentations or works that may be derived from, created or otherwise made by the User in connection with the IATA Connect Platform shall be the exclusive property of IATA and the User hereby irrevocably and forever assigns to IATA all of the User’s worldwide right, title and interest in and to same.

For greater certainty, the license granted to the User under the preceding paragraph shall not grant to the User any license or right to use names, words, titles, logos, slogans, graphics or designs that constitute trademarks, service marks or trade names, and which are made available in connection with the Platform (collectively, the “Marks”), regardless of whether such Marks are the property of IATA or of third parties, without the prior written consent of IATA.

User Content

Any and all information and related materials published, stored or uploaded by the User to, or in connection with, the Platform (the “User Content”) shall remain the property of such User. The User hereby grants to IATA a non-exclusive, worldwide, unrestricted, unconditional, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to copy, disclose, distribute, incorporate and otherwise make use of all such data and information in an aggregated, de-identified and anonymized way, for purposes of research, statistical analysis, analytics, benchmarking, trend setting, compilation of historical and global database, education, training, publications, analyses, industry reports and guidelines, best practices and commercialization as applicable, for the benefit of the air transport industry as a whole. The User represents and warrants that User is duly authorized to place User Content on the IATA Connect Platform. The User warrants that no part of the User Content shall infringe on the rights of third parties, including intellectual property rights. The User acknowledges that the User Content placed on IATA Connect Platform may be held through the services of a third party provider. IATA is in no manner responsible for the User Content.
 

NO WARRANTY

Unless otherwise stated in terms applicable specifically to a certain component, product or service offered through the IATA Connect Platform, the IATA Connect Platform and all components thereof are provided "as is" and "as available", without any warranty, representation or condition whatsoever, express or implied.

TO THE MAXIMUM EXTENT ALLOWED UNDER APPLICABLE LEGISLATION, IATA DISCLAIMS ANY WARRANTY, REPRESENTATION OR CONDITION, EXPRESS OR IMPLIED, IN RESPECT OF THE PLATFORM AND ITS COMPONENTS, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES, REPRESENTATIONS, CONDITIONS AND WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IATA DOES NOT REPRESENT, NOR WARRANT, THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR FREE, THAT ANY DEFICIENCIES WILL BE CORRECTED, OR THAT THE SERVER, THE SYSTEMS OR THE NETWORK UNDERLYING SAME ARE, OR WILL BE, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. IATA DOES NOT MAKE ANY WARRANTY OR REPRESENTATION CONCERNING THE CONTENT, USER CONTENT OR ANY OTHER INFORMATION, DATA OR OTHER ITEMS OFFERED BY WAY OF THE PLATFORM, INCLUDING WITHOUT LIMITATION, WITH RESPECT TO THE CORRECTNESS, ACCURACY, COMPLIANCE, USEFULNESS, RELIABILITY OR ANY OTHER QUALITY THEREOF. IATA UNDERTAKES NO OBLIGATION TO CONTINUE TO MAINTAIN THE PLATFORM IN OPERATION OR TO PRODUCE NEW VERSIONS OF, OR IMPROVEMENTS TO, THE IATA CONNECT PLATFORM.

The User expressly acknowledges and agrees that its use of the IATA Connect Platform is at its own risk and that IATA shall not be liable for any errors, deficiencies or omissions in connection with the use of the IATA Connect Platform. In particular, the User has sole responsibility for adequate protection and backup of data and equipment used in connection with the IATA Connect Platform and will not make a claim against IATA for lost data, re-run time, inaccurate output, work delays or lost profits resulting from the use of the IATA Connect Platform. IATA also bears no responsibility for exposed User data in case of theft or loss of the computer equipment or mobile device used to access the IATA Connect Platform.

Any material downloaded or otherwise obtained through the IATA Connect Platform is done at the User's own discretion and risk, and the User is solely responsible for any damage to its computer system or other equipment, or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by the User from IATA or through the IATA Connect Platform will create any warranty not expressly stated in these Platform Terms of Use. IATA's employees are not authorized to vary these IATA Connect Platform Terms of Use.

DISCLAIMER

The IATA Connect Platform is also a collaboration site provided to airlines for guidance and information purposes only. Although IATA takes reasonable steps to ensure information is accurate and up to date, it does not have the obligation to update, delete, edit, or amend discussion and content already published. Unless otherwise stated, nothing contained in IATA Connect constitutes a recommendation, endorsement, preference, or opinion from IATA.

IATA makes no representations, warranties or other assurances express or implied, about the accuracy, sufficiency, relevance, or correctness of the information and/or content presented. IATA does not assume, and expressly refuses, any liability direct or indirect, to you or any person for any losses or damages including without limitation incidental losses, loss of opportunities or damage to reputation resulting in your access to and use of IATA Connect or caused by errors or omissions or misinterpretation of the content, and for the consequences of anything done or omitted by you or any person in reliance thereof.

IATA Connect is not intended to serve as the sole and exclusive basis for assessment and decision making and constitutes one of many means of information gathering at your disposal. The User is informed to make their own determination and make their own enquiries as they may deem necessary and suitable. The User is solely responsible, independently and without solely relying on the content of IATA Connect, to perform their own analysis and evaluation regarding the nature and level of information required, based upon such information, analyses, and expert advice as the User deems appropriate and sufficient.

 

EXEMPTION/LIMITATION OF LIABILITY

To the maximum extent allowed under applicable legislation, and except for damages related to physical prejudice resulting from an intentional or gross fault, or damages resulting from bodily or moral prejudice, IATA does not undertake any liability towards the User or any other person with respect to direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, revenue, goodwill, use, data, electronically transmitted orders, or other economic advantage resulting or arising from access to, use of, or inability to use, the IATA Connect Platform or its components, even if IATA is advised of the possibility of such damages or even if such damages are reasonably foreseeable.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, and accordingly some of the above limitations or exclusions may not apply to a specific User. However, in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

 

INDEMNIFICATION

The User agrees and undertakes to fully indemnify and hold harmless IATA, its licensors, successors and assigns, as well as its and their directors, shareholders, parent companies, employees, agents and representatives, from and against any action, claim, loss and any damages (direct, indirect or other) and judgments, all reasonable legal fees (including fees for outside legal counsel) and disbursements and any other liability or expense that they may incur in relation to: (i) any User Content or other item provided by the User to IATA; (ii) any breach of the Code of Conduct by the User or any other breach of the warranties, representations, undertakings, duties or obligations set out in these IATA Connect Platform Terms of Use; or (iii) any activity related to the User Account (including any negligent or faulty conduct) carried out by any other person having communicated with IATA or accessed the IATA Connect Platform, by using log-in credentials associated with the User Account; except to the extent that a claim results from any act or omission done by IATA with intent to cause damage or recklessly and with knowledge that damage would probably result.

PROTECTION OF PERSONAL DATA

To access the IATA Connect Platform, the User will be required to provide certain registration details or other information, which may include personal information. It is a condition of your use of the IATA Connect Platform that all the information you provide for the User Account is correct, current, complete and updated. You agree that your use and all personal information you provide as part of the IATA Connect Platform is governed by and subject to IATA's Privacy Policy. The IATA Audit Programs Privacy Policy may, to the extent relevant, apply to certain Users that access the IATA Connect Platform. 

COOKIES

In connection with the use of the IATA Connect Platform, cookies and other technologies may be used in compliance with applicable laws so as to monitor the User's use of the IATA Connect Platform. Each User may configure its Web browser to warn them when a cookie is received or to block cookies. It is also possible to delete cookies at any time. However, by not accepting cookies, the User may not be able to fully benefit from all the features of the Platform.

DERIVED USES

IATA shall be entitled and is authorized to collect, use and disclose the data and content contributed to the IATA Connect Platform in an aggregated and anonymized format for various derived and accessory purposes such as, without limitation, statistics, analytics, research, publications, analyses, industry reports and guidelines, proposals, best practices, standards setting, products and services made available to the air transport community, including by way of commercialization (“Usage Data”). IATA shall own all rights, including copyright, in and to all such Usage Data. This undertaking shall survive the termination of the User’s participation to the IATA Connect Platform.

NOTICES

IATA may send to the User notices using the contact information that the User submits upon registering a User Account, or by posting a general notice on the homepage of the IATA Connect Platform, or by any other reliable method. Any questions concerning these IATA Connect Platform Terms of Use, and any other request, shall be sent to IATA using the contact information for IATA posted on the Platform.

TRADE MARKS

All brands, marks, logos, graphics and character styles appearing on the IATA Connect Platform are trade marks or trade dress of IATA or its licensors. The User authorizes IATA Connect Platform to publish the User’s name and corporate identification in marketing and industry materials related to IATA Connect, and hereby grants IATA a limited non-assignable license for that purpose.

APPLICABLE LAW AND JURISDICTION

The validity, interpretation, construction and performance of these IATA Connect Platform Terms of Use shall be governed by the laws of England, without reference to choice of law provisions. All disputes arising directly or indirectly from, or associated with, the use of the IATA Connect Platform will be definitively settled by arbitration under the Arbitration Rules of the International Chamber of Commerce. The seat, or legal place, of arbitration will be London, England. The arbitration will be conducted in English and all documents will be in the English language.

MISCELLANEOUS

Severability. If any provision of these IATA Connect Platform Terms of Use should be found invalid or unenforceable, such provision shall be amended only to the extent required to make same comply with applicable legislation, and the validity of the remaining provisions of these IATA Connect Platform Terms of Use shall not be affected thereby.

Non-Waiver. The failure by IATA to require strict performance of any provision of these IATA Connect Platform Terms of Use shall not be interpreted as a waiver of any right hereunder by IATA. Neither the conduct of relations between the User and IATA, nor business practices, shall act to amend any provision of these IATA Connect Platform Terms of Use.
